The Commercial Lead is a critical senior-level position overseeing the commercial and contractual aspects of Contract structure, ensuring alignment with sponsor objectives, stakeholder commitments, and project agreements.
- Ensure timely delivery of commercial and financial reports for both SPV and venture board leadership.
- Input and negotiation on agreements involving UGL O&M including procurement, OEM subcontracts, land use, lease structures, shared services, or operational contracts associated with the project.
- Lead the evaluation and mitigation of commercial risks across project consortia and venture structures while ensuring adherence to corporate governance requirements and contractual commitments.
- Oversee collaboration with advisors on public and private sector partnership compliance, as well as governance frameworks for joint ventures.
- Represent the sponsor's commercial interests in strategic decision-making forums in SPVs and ventures.
- Proactively manage claims, variations, and disputes, ensuring compliance with contractual terms and minimising risks and financial exposure.
- Support the development of key performance indicators (KPIs) and dashboards to track performance across SPVs and ventures and report these findings to relevant boards and sponsor organisations.
- Serve as key UGL O&M commercial interface between the sponsor, SPV, venture partners, stakeholders, contractors, and external advisory teams.
- Develop and maintain strong relationships with consortium partners to manage alignment with joint objectives around funding, deliverables, and risk management.
- Develop and implement commercial strategies for both project consortia and venture structures to ensure financial sustainability and corporate value maximisation.
- Define and maintain risk management frameworks specific to the project and joint venture arrangements, with a focus on ensuring compliance with corporate requirements.
- Maintain compliance with sponsor targets, SPV obligations, and regulatory or venture-specific legal requirements.
- Work with UGL Legal to ensure corporate governance requirements are met and appropriate executive engagement on project commercial status is undertaken.
- Input into, review, negotiate, and manage all project agreements, including PPP project agreement, SPV agreements, shareholder agreements, concession agreements, EPC and O&M contracts, and funding documents for equity or debt arrangements.
- Monitor, assess, and respond to changes in project conditions, regulatory frameworks, or venture-specific market factors that may impact commercial outcomes.

This role is integral to managing complex commercial position and risks along with joint ventures structures/ partnership models or delivery vehicles. The position requires a strategic leader with expertise in large infrastructure projects, collaborative ventures, and risk management in dynamic environments.

- Have detailed experience in risk identification, management and mitigation in multi stakeholder environments
- Demonstrated experience in delivering high value complex lifecycle asset projects over long concession periods – full process covering inception to completion.
- Detailed knowledge of the Bid process for large scale PPP including Competitive RFP to commitment deed and financial close.
- Large project delivery capability in the PPP contract space.
- Degree qualified in a Law, Finance or Quantity Surveying discipline is essential.
- Ideally knowledge in the electrician transmission and distribution environment
