Assist senior secretaries with corporate compliance, governance, and legal filings

Tasks
-Handle shareholder grievances and regulatory inquiries. -Assist in organizing board, committee, and AGM meetings, including preparing notices, agendas, and minutes. -Assist in preparing and filing annual returns, balance sheets, financial statements, and reports as required by Indian authorities such as MCA and SEBI. -Maintain statutory registers (such as share register, director register) and other records as mandated by the Companies Act. -Drafting and Reviewing Legal Documents: -Participate in due diligence for mergers, acquisitions, or restructuring activities. -Liaise with regulatory authorities like RoC, SEBI, and other governmental bodies on behalf of the company. -Ensure timely filing of compliance reports and returns. -Prepare and file statutory documents with regulatory bodies such as the Registrar of Companies (RoC), SEBI, and MCA. -Monitor regulatory updates from Indian authorities to ensure legal compliance. -Ensure timely updating and safekeeping of corporate documents in accordance with Indian legal requirements. -Respond to legal queries from regulatory bodies and assist in resolving compliance issues. -Assist in managing communication with shareholders, directors, and other stakeholders about AGMs, company performance, and governance practices. -Conduct research on Indian corporate laws and regulatory updates. -Conduct training for employees on company secretarial compliance matters, including changes in Indian corporate laws. -Assist in ensuring compliance with evolving legal guidelines issued by Indian authorities. -Provide support to senior company secretaries in daily tasks, document preparation, and legal filings. -Maintain accurate board resolutions and compliance reports. -Support legal teams in verifying documents and preparing reports for corporate transactions. -Assist in drafting company policies in accordance with Indian regulations. -Ensure compliance with laws and regulations under the Companies Act and SEBI guidelines. -Draft and review legal agreements, MoUs, contracts, and company resolutions. -Implement corporate governance policies in line with Indian regulatory requirements. -Promote compliance culture and governance best practices within the organization. -Ensure contracts comply with Indian corporate governance laws.

What You Bring
-1-3 years of experience in company secretarial roles, particularly within Indian corporate governance frameworks. -Practical knowledge of the Companies Act, SEBI regulations, and other Indian legal frameworks. -Strong communication and stakeholder management skills in both English and Hindi. -Knowledge of emerging technologies such as AI tools like ChatGPT and design platforms like Canva. -Excellent drafting, filing, and documentation skills in the context of Indian corporate law. -Proficiency in MS Office and familiarity with company secretarial software. -Collaborative: Capable of working with senior management and legal teams. -Problem-Solving: Ability to resolve legal compliance issues effectively. -Education: Semi-qualified Company Secretary, currently pursuing CS (ICSI) with completed CS Executive level. -Attention to Detail: Strong focus on accuracy and legal compliance.
