Tasks

-Drive legal due diligence and deal production towards signing, closing and post-closing matters -Collaborates with cross-functional leads to drive and monitor legal progress for a range of M&A and financing projects -Consult with, as appropriate, external attorneys as needed to execute on the company’s growth goals and related compliance matters -Review investor and public communications, and other external documents for compliance accuracy related to 33’ Act requirements, M&A and finance transactions

What You Bring

-Experience in 34’ Act periodic reporting requirements (e.g., Forms 10-K, 10-Q and 8-K) -Experience in assisting in post-acquisition integration initiatives, as well as divesture planning -Outstanding judgment and integrity; intellectual curiosity, innovative thinking, and ability to provide practical and solution-oriented advice -Experience working with public company executives, boards and committees -Responsive to internal customer needs, deal related timelines, and the growth aspects of the company’s strategy -Mastery of communication skills and styles, both written and verbal. Demonstrated ability to effectively present information to internal and external partners -Able to pass a background check -Excellent analytical and problem-solving skills, business acumen and judgment, strategic legal thinking, initiative, attention to detail and ability to work independently -A strong team player attitude, with the ability to build and maintain relationships at all levels, including senior executives, field team leaders and cross-functional peers -Juris Doctorate -Exceptional interpersonal skills and commitment to professionalism and collegiality -Top Tier Law Firm Experience; In-house legal experience; and 7+ years progressive experience in M&A, commercial/financial transactions, legal and/or other control-related function in a complex, global organizations -Experience advising on M&A transactions and drafting/reviewing related agreements -Expertise in M&A, financing transactions, and corporate governance matters
