Tasks
● Maintain and update statutory registers, board resolutions, and compliance reports. ● Promote awareness of compliance obligations across departments. ● Participate in due diligence for mergers, acquisitions, and corporate restructuring. ● Assist in organizing Board Meetings, Committee Meetings, and AGMs — including preparing notices, agendas, and minutes. ● Draft and review MoUs, contracts, NDAs, and legal notices ensuring compliance with Indian corporate governance norms. ● Assist in conducting training sessions on company secretarial practices, SEBI COMPLIANCE, and GOVERNANCE UPDATES. ● Track and interpret regulatory updates from SEBI, MCA, RBI, and other Indian authorities. ● Support the Company Secretary and management in legal drafting, documentation, and corporate filings. ● Conduct legal research on corporate, securities, and capital market laws. ● Coordinate with RoC, SEBI, RBI, and other government bodies for regulatory submissions and clarifications. ● Prepare and file statutory documents with RoC, MCA, SEBI, and other regulatory authorities. ● Support in INVESTOR COMMUNICATION, SHAREHOLDING PATTERN FILINGS, and HANDLING INVESTOR GRIEVANCES. ● Support in due diligence, disclosures, and documentation for FUND-RAISING, PRIVATE PLACEMENTS, or LISTING-RELATED ACTIVITIES. ● Support legal and finance teams in preparing reports, certificates, and disclosures. ● Maintain statutory records including share registers, director registers, and legal documentation as per Indian laws. ● Ensure proper safekeeping and digital organization of company secretarial files and returns. ● Ensure compliance under the Companies Act, SEBI Regulations, FEMA, and other Indian statutory frameworks. ● Assist in policy drafting and monitoring of compliance trackers. ● Coordinate with MERCHANT BANKERS, STOCK EXCHANGES, and DEPOSITORIES for corporate actions and filings. ● Assist in compliance related to SEBI (LODR) Regulations, MERCHANT BANKING, and CAPITAL MARKET TRANSACTIONS. ● Implement best practices for governance in line with Indian regulatory standards. ● Prepare responses and documentation for inspections or compliance audits.

What You Bring
● Proficiency in MS Office and familiarity with company secretarial software. ● Tech-Savvy: Awareness of tools such as AI platforms (ChatGPT) and design platforms like Canva for documentation and communication ● Excellent drafting, filing, and documentation skills. ● Analytical Mindset: Ability to interpret laws and resolve compliance challenges. ○ Exposure to SEBI, MCA, and RBI compliance frameworks preferred. ● Strong understanding of corporate governance and capital market compliance. ○ 1–3 years of relevant experience in company secretarial, CAPITAL MARKETS, or legal roles. ○ UNDERSTANDING OF MERCHANT BANKING, CAPITAL MARKET INSTRUMENTS, BANKING COMPLIANCE, AND INVESTOR RELATIONS is highly desirable. Education: Semi-qualified Company Secretary (pursuing CS from ICSI; must have completed Executive level). We are seeking a Junior Company Secretary (Semi-Qualified) to assist in managing corporate compliance, governance, CAPITAL MARKETS, BANKING, MERCHANT BANKING, INVESTOR RELATIONS, and legal matters. The role involves close collaboration with senior company secretaries, the finance and legal teams to ensure seamless compliance with Indian laws, SEBI regulations, and corporate governance norms. ● Effective communication and stakeholder management in English and Hindi. The ideal candidate will have hands-on experience with statutory filings, CAPITAL MARKET REGULATIONS, INVESTOR COMMUNICATION, and DUE DILIGENCE, along with a solid understanding of Indian corporate and securities laws. ● Collaborative: Comfortable working across teams, especially with legal, finance, and senior management. ● Attention to Detail: Accuracy and consistency in filings and legal documentation.
