Tasks
-Support corporate governance tasks such as drafting board resolutions, maintaining corporate records, and assisting with subsidiary management. -Conduct research and provide summaries on legal, regulatory, and compliance issues. -Utilize legal management software and tools for tracking, analytics, and reporting. -Serve as a liaison with external counsel, regulatory agencies, and other stakeholders. -Assist in the discovery process, including document production, deposition preparation, and fact research. -Ensure compliance with internal legal processes, policies, and procedures. -Support legal aspects of mergers and acquisitions, including due diligence and data room management. -Maintain confidentiality of sensitive legal and business information at all times. -Assist with contract lifecycle management, including drafting templates, reviewing agreements, and tracking deadlines. -Maintain and organize physical and electronic legal files, documents, and databases in accordance with corporate recordkeeping policies. -May provide training and mentoring to junior staff or act as a team lead on larger projects. -Help manage licensing, trademarks, and intellectual property portfolios, including renewal tracking and filing. -Prepare and file legal documents with appropriate regulatory and government agencies as needed. -Collaborate with cross-functional departments such as HR, Finance, Compliance, and IT on legal matters. -Draft, edit, and proofread correspondence, legal memos, and reports. -Schedule and coordinate meetings, hearings, and other legal-related events.

-Ability to manage multiple priorities and meet tight deadlines in a fast-paced environment. -Strong attention to detail and organizational skills. -Professionalism and ability to handle confidential or sensitive information with discretion. -Excellent oral and written communication skills. -Paralegal Certificate required or preferred (depending on jurisdiction or organization standards). -Familiarity with SEC filings, corporate governance practices, and industry-specific regulations (if applicable). -Prior experience in contract administration, regulatory compliance, or corporate governance strongly preferred. -Proficient in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint) and legal software platforms. -Leadership and mentoring skills; ability to guide and support junior team members. -Knowledge of legal and regulatory frameworks applicable to corporate environments. -Critical thinking and problem-solving abilities. -4 to 6 years of experience in a corporate legal or law firm setting, with a strong understanding of business law, compliance, and corporate operations. -Associate's degree required; Bachelor’s degree preferred (especially in Legal Studies, Business Administration, or related field). -Customer/client orientation and strong interpersonal skills. -Experience with legal management platforms (e.g., iManage, NetDocuments, ContractWorks, or similar) is a plus.
