The Role

Overview

Manage day-to-day company secretarial functions and governance for the Board.

Tasks

-Monitor legislative and regulatory updates, and advise the Board and management on governance implications. -Provide administrative and compliance support to the Company Secretary and Board. -Coordinate Board and committee meetings, including agendas, minutes, and action tracking. -Support new director induction and ongoing governance training initiatives. -Ensure compliance with the Corporations Act, ASIC, ASX Listing Rules, and other regulations. -Prepare and lodge statutory returns and maintain corporate registers. -Support audits and contribute to governance, risk, and compliance activities. -Support governance frameworks, policies, and the preparation for the AGM. -Assist with shareholder, investor, and regulator communications, including ASX announcements and the annual report. -Maintain accurate records and manage sensitive documents securely.

What You Bring

-Strong experience in governance support, Board and committee operations, and managing compliance and statutory requirements in complex settings. -Demonstrated capability in managing change across diverse stakeholder groups, including Board members and executive leadership. -Tertiary qualification in Governance, Law, Commerce or relevant discipline and/ or Corporate Governance course at the Governance Institute of Australia. -Membership of the Governance Institute of Australia or the Australian Institute of Company Directors is highly regarded. -Highly organised, with the ability to prioritise competing demands in a fast-paced environment. -Skilled in aligning governance frameworks with business strategy, ensuring statutory compliance, and communicating effectively with Boards, regulators, shareholders, and executives. -Exceptional attention to detail and accuracy, with the ability to manage confidential information discreetly.
