Tasks

The Associate Counsel will provide direct support to the Legal & Compliance Department and serve as a key partner to Operations, Shared Services and Senior Leadership. The role includes responsibility for business registrations, licenses, and regulatory filings, as well as supporting HR, labor relations, compensation and benefits, real estate and lease matters, and compliance programs. The successful candidate will also help establish a company-wide contract management system and manage records retention. This hybrid role, based in Charleston, WV, is an excellent opportunity for an early-career attorney to gain broad in-house experience in corporate, compliance, and operational matters. -Provide legal support to HR on employment law, labor relations, compensation, and benefits compliance. -Support development and delivery of compliance training, policies, and procedures. -Assist with negotiation, drafting, and administration of labor relations agreements. -Support Operations leadership with legal review of service agreements, vendor contracts, and operational compliance. -Utilize DocuSign and document management platforms for contract execution and tracking. -Review and provide guidance on real estate transactions, property leases, and related agreements. -Monitor regulatory developments and advise management on potential impacts. -Assist with corporate governance, board resolutions, and compliance reporting. -Manage business entity registrations, annual reports, licenses, and filings across multiple jurisdictions. -Occasional lifting of files, office supplies, or documents (generally up to 15 lbs). -Support compliance with federal, state, and local regulations, including DOT, FMCSA, and EEOC. -Draft, review, and revise contracts, agreements, and compliance documents. -Develop, implement, and oversee a company-wide contract management system. -Coordinate with internal stakeholders and outside counsel on litigation, regulatory, and corporate matters. -Manage corporate records retention and document control policies.

What You Bring

Technical and Leadership Skills Juris Doctor (JD) degree from an accredited law school. -Ability to operate a computer, keyboard, telephone, and other standard office equipment. -Knowledge of compensation, benefits, HR compliance, and labor relations. -Exposure to utility, construction, transportation, or energy sectors. -Project management skills with the ability to set up new systems, track deadlines, and manage priorities. -0–3 years of legal experience, preferably in corporate, employment, or compliance-related practice. -Prior in-house experience or experience in corporate/regulatory practice. -Ability to interpret, draft, and negotiate a wide variety of contracts and legal documents. -Strong interpersonal skills to build trust and credibility across Operations, Shared Assets, and Senior Leadership. -Ability to work onsite in an office environment and adapt to hybrid work settings. -Ability to travel occasionally for meetings, hearings, site visits, or training (less than 10–15%). -Background supporting HR, operations, and compliance functions. -Critical thinking and problem-solving skills, with a proactive approach to risk management and compliance. -Leadership presence with the ability to provide guidance to cross-functional teams and influence decision-making. -Familiarity with federal regulatory frameworks, including DOT, FMCSA, and EEOC. -Ability to communicate complex legal and compliance issues in clear, business-focused terms. -Active license to practice law in West Virginia (or ability to become licensed within a reasonable time). -Ability to communicate clearly in person, over the phone, and via written correspondence. -Proficiency in using DocuSign, contract management tools, and document management systems. -Understanding of real estate and lease agreements. -Strong working knowledge of corporate, regulatory, and employment law. -Competence with Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and legal research platforms. -Prolonged periods of sitting at a desk and working on a computer.
