Tasks

-Facilitating identification, analysis, and resolution of business or technical issues in execution by identifying legal risks, developing creative solutions, and working with the project team to recommend a practical course of action to management. -Working with prospective business partners on formation of a joint venture, including drafting and negotiation of memoranda of understanding and joint venture agreements. -Timely and comprehensive corporate reporting responsibilities, including analysis of contractual terms, preparation of documentation required for transaction approval, and regular reporting to legal and corporate management on status of all work. -Identification of issues requiring KBR outside counsel involvement, with cost-effective control and management of outside counsel services and potentially alternative legal service providers (ALSPs). -Taking the lead role in negotiations with clients and their outside counsel (including global law firms), managing multiple rounds of drafting, negotiations, and successfully resolving contract issues with the team to achieve resolution. -Providing responsive, effective and time-sensitive support to the EPC/major project teams during project execution, including support for procurement, change order management, project letter drafting, data management, warranty, export compliance, labor and employment, confidentiality agreements, payment and invoicing, risk mitigation, claims management, and dispute resolution issues and claims. -Review, drafting, and redlining of indemnification (including anti-indemnity laws), risk management and limitation on liability concepts. -Identification of and support of investigation and resolution of Code of Business Conduct, compliance, anti-corruption and export compliance matters by working closely with the respective corporate departments. -Advising internal clients and providing required support as the assigned attorney on all phases of the project life cycle, from the initial pursuit stage, proposal preparation support, through contract negotiation, and after contract signing, legal support to the project during project execution.

What You Bring

-J.D. degree from an ABA-accredited U.S. law school. -Demonstrated strong business acumen and judgment, including ability to proactively identify commercial and payment issues, draft and negotiate detailed commercial terms and protections, and analyze technical and commercial claims. -Exceptional written and verbal communication skills, including the ability to communicate and interact effectively at all levels and across all functions within an organization and the ability to convey complex contract and legal concepts clearly and succinctly. -License in good standing to practice law in at least one U.S. state, preferably Texas. -Broad-based transactional experience, with a minimum of 10 years or more providing legal support for engineering, procurement, and construction/construction management matters for the energy industry. The candidate ideally would offer significant legal experience with broad-based transactional experience (including legal experience at the project construction site) for large industrial projects, with a strong preference for LNG or EPC projects, particularly LNG or other process technology, projects with U.S. and international energy major clients. -Proven successful team player and team-builder who can coordinate, interact, and work as a key player in the KBR corporate team. -Successful organizational, leadership and people management skills, including managing a cohesive, efficient support team producing high- quality legal work, and demonstrating effective team-centered professional behavior. -Experience managing outside counsel, including use of alternative fee arrangements, and managing ALSPs. -Position is based in the Houston, Texas corporate office, but candidate should be willing and able to travel if required (including to project sites and on occasion internationally). Hybrid Houston office / work-from-home arrangement is available. -Substantive experience with business ethics and conduct matters as well as legal and regulatory requirements, including Code of Business Conduct, Export Compliance and Anti-Corruption issues and applicable laws. -Proven successful team player and team-builder who can coordinate, interact, and work as a key player both within the KBR Law Department team, and as part of the KBR corporate team. -Proficient use of artificial intelligence contract review software, contract lifecycle management software, and/or legal intake request software or developing playbooks for same is a plus. -Drafting/review and redlining, and negotiation of commercial contracts, specifically focusing on EPC/EPCM/MSA/technology licensing contracts, with expertise in drafting commercial and operational mitigations and solutions to contract terms in accordance with corporate risk and commercial requirements, and successful negotiation of such contracts with clients.
