Tasks

-Collaborate and build strong relationships with cross-functional teams, including finance, tax, regulatory, accounting, asset and energy management and investor relations. -Have flexibility to assist the corporate legal team in its activities and its mission as needs arise. -Lead mergers and acquisitions and other strategic transactions at all stages, including bids, performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration, including documentation relating to management teams. -Lead financing activities relating to M&A transactions and refinancing of existing debt of portfolio companies. -Assist in preparation of M&A related investment committee meeting materials.

What You Bring

-Are able to be the primary in-house attorney on M&A and other corporate transactions, including handling multiple transactions or projects simultaneously. -Knowledge of renewables and tax equity, including how tax incentives and financing structures impact project economics and investment decisions. -Are able to quickly assess business challenges, make timely, pragmatic recommendations under pressure and identify, prioritize and resolve issues quickly and independently while balancing legal risks against business interests. -Have excellent communication, project management, negotiation and drafting skills. -Have JD, with at least 6-8 years of experience handling complex M&A, financing and other corporate transactions. -Energy/project finance and in-house experience, with a strong understanding of deal structuring and financial modeling.
