Tasks

-Prepare and distribute notices, circulars, and annual reports to shareholders. -Coordinate the timely execution of board decisions and ensure proper documentation. -Draft, review, and manage corporate legal documents, agreements, and policies. -Ensure timely and accurate disclosures to SGX and other stakeholders. -Ensure timely filings with regulatory bodies such as ACRA, the Securities Commission, and other relevant authorities. -Address shareholder queries and ensure effective communication channels. -Maintain and update statutory registers, including registers of members, directors, and substantial shareholders. -Prepare, draft, review, and distribute meeting agendas, minutes, and resolutions. -Act as the key point of contact with regulators, including SGX, ACRA, and other relevant authorities. -Manage the organization of Annual General Meetings (AGMs) and Extraordinary General Meetings (EGMs). -Advise the Board of Directors on corporate governance best practices and SGX requirements. -Maintain accurate records of board and shareholder decisions. -Ensure compliance with the Companies Act, Singapore Exchange (SGX) Listing Rules, and other relevant regulations. -Ensure adherence to the Code of Corporate Governance and internal governance standards. -Oversee the preparation and timely submission of SGX announcements, annual returns, and regulatory filings. -Liaise with directors, stakeholders, and external regulators on governance and compliance matters. -Monitor regulatory changes and provide guidance on compliance and governance matters. -Organize, schedule, and attend board meetings, general meetings, and committee meetings. -Facilitate onboarding and training programs for directors to enhance governance awareness. -Support corporate exercises such as mergers, acquisitions, fundraising, and restructuring. -Ensure safekeeping and proper maintenance of statutory documents and company records. -Handle ad-hoc projects related to corporate secretariat functions as required.

What You Bring

-In-depth knowledge of Companies Act and other relevant regulations -Proactive with the ability to prioritize tasks and meet deadlines -Minimum 5 years of relevant corporate secretarial experience -Excellent verbal and written communication skills -Prior experience handling listed companies assignments will be an advantage -Degree in any field -Conscientious, meticulous and well organized, able to work independently and well under pressure
