Support board administration and corporate governance for subsidiary directors

Tasks
-Assist with annual statutory filings and regulatory submissions. -Ensure compliance with relevant corporate governance frameworks, policies, and regulatory requirements. -Maintain complete and accurate corporate records, statutory registers, governance documents as well as the group’s legal entity management tool. -Prepare, collate, and distribute board packs, agendas, and supporting documentation. -Schedule and coordinate meetings of the Boards of Directors of a group of subsidiaries across various legal jurisdictions. -Draft and circulate board and shareholder minutes and resolutions, ensuring accuracy and compliance with governance standards. -Support the implementation and monitoring of best practices in governance. -Attend board meetings; take accurate and comprehensive minutes. -Liaise with directors, senior executives, and other internal stakeholders to ensure timely preparation for meetings.

What You Bring
-Prior experience in a governance, company secretarial, or board support role, preferably in an international environment. -Strong attention to detail and discretion in handling confidential information. -Strong knowledge of corporate governance frameworks and best practices. -High level of integrity and commitment to corporate governance excellence. -Law degree (LLB) or a paralegal certificate / diploma. -Excellent organizational skills with the ability to manage multiple priorities and deadlines. -Self-motivated and proactive, with the ability to work independently and as part of a team. -Professional, diplomatic, and confident when engaging with others. -Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook). -Exceptional written and verbal communication skills; ability to draft high-quality minutes and resolutions.
