Legal counsel for C&I renewable project finance, contracts, and transactions.
-Manage outside counsel to ensure efficient and effective completion of tasks. -Advise and counsel capital markets and finance teams on risks associated with financing and M&A transactions and develop plan to mitigate -Independently and critical review of MIPAs, debt and tax equity agreements -Structure, negotiate, draft and review various project agreements including power purchase agreements, equipment procurement and warranty agreements, construction agreements, interconnection agreements, engineering and consulting service agreements, operations and maintenance agreements, confidentiality agreements, filings, and applications to various local, state, and federal agencies (including FERC) -Coordinate with development and origination teams to ensure project agreements are financeable -Independently draft and provide critical review of real estate documents, including leases and access agreements. Manage title insurers in connection with real estate transactions. -Perform diligence activities related to closing transactions, including responding to diligence inquiries from lenders and other financing parties -Assist with maintenance of contract database -Coordinate efforts with other corporate legal and senior management staff regarding corporate and project requirements to ensure maximum value and appropriate risk management
-Proactive and solution-oriented -Ability to handle multiple projects and work successfully in a dynamic team environment. -Law degree required (J.D.) and must be admitted in California -Ability to work independently with minimal oversight. -Ability to identify risks and propose solutions to mitigate risks -Experience as in-house counsel preferred but not required. -5 years of experience as a lawyer in the renewable space, including specific legal knowledge and experience in solar C&I matters -Ability to make informed decisions in a quick and nimble fashion -Proficient in Windows environment, MS Office, Outlook, Excel; technically savvy -Comfortable with a work environment that is fast paced and changes quickly -Ability to work within a cross-functional team with a positive, can do attitude -Must have recent experience in the development, construction and financing of power facilities or infrastructure for an energy project developer or other energy company. -Training with top tier law firm preferred
