Tasks

-Maintain and update statutory registers and records as required under the Companies Act. -Manage all filings with the Ministry of Corporate Affairs (MCA) and other regulatory bodies. -Develop risk mitigation strategies and ensure adherence to company policies. -Provide training to board members and senior staff on corporate governance requirements. -Organize and manage board meetings, including scheduling, agenda preparation, and minutes. -Ensure accurate documentation of board decisions and resolutions. -Stay updated on new laws and regulations and implement necessary changes in policies. -Oversee the development and implementation of governance policies and procedures. -Support team members in developing knowledge of compliance and governance best practices. -Ensure that the company complies with statutory and regulatory requirements. -Prepare and submit timely compliance reports and documentation. -Ensure transparency in communication with relevant internal and external stakeholders. -Manage shareholder communication and address queries regarding company compliance. -Support various board committees, ensuring they operate effectively and in compliance with legal standards. -Act as a liaison between the board, senior management, and shareholders. -Conduct regular compliance audits and assessments to identify potential risks. -Advise the board and senior management on corporate governance matters.

What You Bring

-Experience: Minimum 7 years of experience in a similar role, with a strong background in corporate governance and compliance. -Strong knowledge of company law, excellent organizational skills, and a strategic approach to managing regulatory requirements.
