About the Role

Key responsibilities include advising executive leadership and the Board on governance, strategy, risk and compliance; providing legal guidance on major transactions such as acquisitions, divestitures, joint ventures and partnerships; drafting, reviewing and negotiating contracts with clients, partners, subcontractors and service providers; and evaluating litigation, defining defense strategies, approving settlements and representing DLZ when needed. The General Counsel also oversees the internal legal function, coordinates outside counsel, advises on professional liability, insurance, employment, regulatory, licensing, benefits, training, immigration and policy matters, monitors legal developments to update policies, and establishes legal processes and best practices to support efficient operations and proactive risk management. • Advise leadership and Board on governance, strategy, risk, and compliance. • Lead legal aspects of acquisitions, divestitures, joint ventures, and partnerships. • Draft, review, negotiate, and manage contracts with clients, partners, subcontractors, and service providers. • Oversee litigation strategy, coordinate with outside counsel, and approve settlements. • Manage internal legal team and ensure cost‑effective outside counsel support. • Provide guidance on liability, insurance, employment, regulatory, licensing, benefits, training, immigration, and policy matters. • Monitor legal and regulatory changes and update company policies and procedures. • Establish legal processes, standards, and best practices for efficient operations and risk management.

What You Bring

Qualifications require a JD from an accredited law school, an active Ohio or Indiana license, and at least 20 years of legal experience with strong corporate, transactional and commercial expertise. Prior in‑house experience or advising corporate clients, and a track record of delivering practical, solutions‑oriented advice in a business setting are essential. Preferred experience includes M&A, professional‑services firms, liability and claims management, and direct work with executive leadership and boards. • Required: JD, active Ohio/Indiana bar, ≥20 years legal experience with corporate, transactional, and commercial focus. • Preferred: M&A experience, background with professional‑services or construction firms, liability/claims management, direct work with executives and boards.
