About the Role
The role involves governance and company secretarial activity across Mace’s global consult business, ensuring rigorous compliance and effective board support following the demerger. Acting as a trusted advisor, it oversees statutory operations across Europe, MEA, APAC and the Americas, enabling strong governance for a fast‑growing, dynamic organisation. • Manage company secretarial and governance services across all consult entities. • Act as statutory Company Secretary, ensuring compliance and maintaining statutory records. • Organise board and committee meetings, preparing agendas, board packs, minutes and tracking actions. • Develop and maintain governance frameworks, policies and procedures. • Advise senior leaders on governance, regulatory and company law matters. • Oversee corporate actions such as share capital changes, acquisitions, disposals and reorganisations. • Support M&A activities, including due diligence and integration. • Coordinate with finance, tax and treasury on group structure, funding, distributions, KYC and reporting. • Prepare governance content for annual reporting and statutory disclosures. • Manage overseas service providers and support director appointments and inductions. • Lead governance projects and contribute to strategic initiatives.
