About the Role

The Lead Counsel – Global Entity Governance will oversee corporate governance for Baker Hughes legal entities in North America. Responsibilities include conducting board and shareholder meetings, managing power of attorney processes, reviewing resolutions and documents, handling notarization, apostille and legalization, supporting Mergers & Acquisitions, providing corporate information to internal teams, and managing invoicing procedures and vendor relationships. • Oversee corporate governance for Baker Hughes entities in North America. • Organize board of directors and shareholder meetings for assigned jurisdictions. • Manage power of attorney requests, approvals, and issuance. • Review and process resolutions, documents, and power of attorney requests from subsidiaries. • Handle notarization, apostille, and legalization of corporate documents. • Support Mergers & Acquisitions with corporate governance duties. • Provide timely corporate information to other Baker Hughes teams. • Manage invoicing procedures, ensuring compliance with guidelines. • Process invoices, onboard new vendors, deliver vendor training, resolve billing errors, and act as liaison between vendors and internal stakeholders.

What You Bring

Successful candidates will have at least three years of post‑qualified experience as a lawyer in a multinational law firm or in‑house counsel role, a bachelor’s degree from an accredited university, and a minimum of three years in corporate governance. They must possess excellent oral and written communication skills, strong interpersonal and leadership abilities, the capacity to influence and lead small teams, and the ability to coordinate multiple projects while demonstrating effective problem‑solving, analytical, and organizational skills. • Minimum three years post‑qualified legal experience in a multinational law firm or in‑house counsel role. • Bachelor's degree from an accredited university. • At least three years experience in corporate governance. • Strong oral and written communication skills. • Effective interpersonal, leadership, and influencing abilities. • Ability to lead small teams and coordinate multiple projects simultaneously. • Demonstrated problem‑identification and solution skills. • Proven analytical and organizational capabilities.
