Associate General Counsel

Description

The Associate General Counsel (Commercial & Real Estate) will occupy a high‑visibility role shaping commercial, real‑estate, and transactional initiatives, reporting directly to the General Counsel. The attorney will partner with leaders at every level, build strong internal and external relationships, and drive strategic execution while managing risk. While based in Sparks, MD, the role may be located in several regional offices.

In addition to functional expertise, the Associate General Counsel will lead the Legal Department, managing and developing attorneys, paralegals, and support staff. Responsibilities include fostering collaboration, ensuring high‑quality, business‑oriented legal services, and partnering with HR and senior leadership to recruit and retain top talent. The role also promotes a culture of integrity, accountability, and continuous improvement.

• Draft, review, and negotiate commercial agreements such as professional services agreements, subcontracts, NDAs, and vendor contracts.
• Support contract lifecycle management and develop standard templates and processes.
• Conduct real estate transactions, including acquisition, sale, and easement purchases.
• Review and negotiate commercial leases and subleases.
• Assist with legal aspects of mergers, acquisitions, joint ventures, and strategic transactions.
• Lead diligence reviews, coordinate external advisors, and contribute to integration planning.
• Draft and review letters of intent, term sheets, and transaction agreements.
• Advise on risk allocation and mitigation for project delivery and operations.
• Coordinate with risk and insurance teams on coverage and risk transfer strategies.
• Serve as trusted advisor to operational leaders and provide legal training on risk topics.
• Lead, mentor, and develop attorneys, paralegals, and legal staff, fostering a collaborative environment.
• Allocate work across the legal team to align with business priorities.
• Establish standards for high‑quality, timely, business‑oriented legal advice.
• Partner with HR and senior leadership to recruit, onboard, and retain legal talent.
• Promote a culture of integrity, accountability, and continuous improvement within the Legal Department.
• Represent the Legal Department as a visible leader, modeling sound judgment and client service.

Requirements

Qualifications include a JD from an ABA‑accredited law school, membership in good standing with a U.S. state bar, and at least ten years of relevant legal experience, preferably within the AEC industry. Strong interpersonal, analytical, and communication skills are required, as well as proficiency with Microsoft Office and related software. Pre‑employment drug screening, background check, and possibly motor vehicle checks are conditions of employment.
