Corporate Counsel, Commercial Contracts

Description

• Draft, review, and negotiate agreements for purchasing goods and services.
• Provide legal advice to the Supply Chain organization on commercial contract matters.
• Collaborate with internal stakeholders to resolve commercial contract disputes.
• Coordinate with the law department and global business colleagues to ensure compliance with internal risk policies and applicable law.
• Develop and maintain commercial contract templates and playbooks with the Supply Chain team.
• Deliver legal training to the Supply Chain organization and enforce adherence to corporate policies.

Requirements

• Minimum 3 years experience in commercial contracts for goods and services.
• Advanced knowledge of UCC‑2 and purchase‑of‑goods agreements.
• Experience negotiating and drafting service agreements and handling supplier disputes.
• General understanding of security, privacy, and artificial intelligence laws.
• Ability to communicate complex legal principles to non‑lawyers.
• Capable of working in a fast‑paced environment covering a broad range of commercial legal matters.
• Familiarity with contract lifecycle management (CLM) systems for negotiation and management.
• Willingness to travel up to 25 % based on business needs.
• Preferred: 5 + years experience, familiarity with intellectual property law, SaaS technology agreements, and AI‑enabled contract tools.
• Juris Doctor from an accredited U.S. law school, licensed to practice, and able to become licensed in Iowa or Illinois.

• Compensation range: $107,400 – $161,088 plus benefits.
