Responsible for developing and maintaining a unified governance framework across AICC Holding and its subsidiaries, ensuring regulatory alignment, ethical leadership, and strategic oversight. Provides expert guidance on governance practices, investment activities, board effectiveness, and organizational transformations to support sustainable growth and corporate integrity.

  • Drive continuous improvement in governance practices to enhance decision-making quality and stakeholder confidence, through benchmarking against local and international standards and implementing lessons learned from internal and external evaluations.
  • Implement and uphold safety and security protocols to protect the well-being of all employees and company assets.
  • Adhere to organizational policies and procedures to ensure compliance and maintain a productive work environment.
  • Ensure governance readiness across the investment portfolio to support long-term sustainability and growth, by embedding governance mechanisms into due diligence, post-investment monitoring, and exit strategies.
  • Establish and maintain a unified governance framework that integrates AICC holding and subsidiaries to promote consistency, accountability, and regulatory alignment, by regularly assessing current practices and deploying standardized governance structures.
  • Promote governance culture across the enterprise to embed ethical leadership and responsible corporate behavior, through long-term communication strategies, executive engagement, and reinforcement in HR and performance systems.
  • Act as a key governance advisor during strategic transformations (e.g., mergers, restructuring, or IPO preparation), to safeguard corporate integrity and align governance evolution with organizational change, through scenario planning and stakeholder alignment.
  • Institutionalize board and committee effectiveness mechanisms to elevate strategic oversight and risk management capabilities, by developing performance criteria, conducting regular assessments, and supporting capacity-building efforts.
  • Develop governance succession and continuity plans to ensure resilience and adaptability of governance structures during organizational changes, by identifying critical roles, preparing readiness plans, and advising on board composition and transitions.
  • Collaborate with internal audit, risk, and compliance teams to strengthen the organization’s three lines of defense, by aligning governance objectives, sharing insights, and coordinating integrated reviews.
