The Role

Overview

Manages corporate records, contracts, filings, and supports legal compliance.

Tasks

-May involve occasional overtime during transaction closings or filing deadlines. -Maintain corporate records, minute books, and resolutions. -Support attorneys with document organization, discovery, and preparation for meetings and negotiations. -Assist in managing the company’s contract database and track, key dates and obligations. -Prepare and file annual reports, statements of information, and other required corporate filings. -Assist in the formation, dissolution, and maintenance of corporations, LLCs, and other business entities. -Collaboration with attorneys, executives, and external counsel. -Support mergers, acquisitions, and other corporate transactions by conducting due diligence and managing document checklists. -Communicate with state and federal agencies regarding filings and compliance. -Ensure confidentiality and compliance with data protection and record retention policies. -Track employee certified payrolls per Department of Labor regulations. -Prepare applicant criminal history reports for review, upload executive approval or denial in Yardi, mail denial letters to applicants. -Draft, review and organize business contracts, including non-disclosure agreements, vendor agreements, and service contracts. -Conduct legal and factual research related to business operations, regulations, and compliance issues.

What You Bring

-Strong understanding of corporate law, contracts, and regulatory filings. -Detail-oriented, organized, and capable of managing multiple priorities. -Knowledge of compliance frameworks and business licensing. -Experience supporting mergers and acquisitions, financing, or real estate transactions -Proficient in Microsoft Office Suite and legal management software (e.g., Lexis Nexis, Pacer, DocuSign, Concur and Yardi). -Associate or Bachelor degree required; Paralegal Certification from an accredited program preferred. -Strong analytical and problem-solving abilities. -3+ years of experience as a corporate or business paralegal (law firm or in-house). -Excellent written and verbal communication skills.
