Deputy General Counsel

• Litigation Oversight:Manage litigation and disputes involving the organizationCoordinate with external counsel, as necessary
• Assist with due diligence, negotiations, and drafting of documents
• Provide legal advice and guidance to senior management and other departments on a wide range of legal matters, including corporate governance, compliance, and risk management
• Contract Management:Draft, review, and negotiate complex contracts and agreements with clients, vendors, and partners to protect the organization’s legal and business interests
• Develop, implement, and enforce policies and procedures to ensure the organization’s compliance with applicable laws, regulations, and ethical standards
• Advise on employment law matters, including drafting employment agreements, managing employee disputes, and ensuring compliance with labor laws and regulations
• Manage litigation and disputes involving the organization
• Corporate Transactions:Coordinate the legal aspects of mergers, acquisitions, divestitures, and other corporate transactionsAssist with due diligence, negotiations, and drafting of documents
• Employment Law:Advise on employment law matters, including drafting employment agreements, managing employee disputes, and ensuring compliance with labor laws and regulations
• Intellectual Property:Oversee intellectual property to protect the organization’s intellectual property rights (including patents, trademarks, copyrights, trade secrets and licenses)
• Draft, review, and negotiate complex contracts and agreements with clients, vendors, and partners to protect the organization’s legal and business interests
• Compliance and Policies:Develop, implement, and enforce policies and procedures to ensure the organization’s compliance with applicable laws, regulations, and ethical standards
• Coordinate with external counsel, as necessary
• Coordinate the legal aspects of mergers, acquisitions, divestitures, and other corporate transactions
• Oversee intellectual property to protect the organization’s intellectual property rights (including patents, trademarks, copyrights, trade secrets and licenses)
• Legal Advice and Guidance:Provide legal advice and guidance to senior management and other departments on a wide range of legal matters, including corporate governance, compliance, and risk management

• Corporate formation/structure background
• Ability to handle fast paced environment and manage changing priorities
• Litigation experience or desire/ability to guide company on resolution of issues
• Mergers & Acquisitions (M&A) experience
• Experience counseling board of directors and/or executives on legal matters
• Experience with AIA, EJCDC, DBIA and/or Consensus Docs
• Broad legal background, preferred
• Two or more years of legal experience as a practicing attorney; either in-house or private practice, or a combination of both.
• Current law license (in good standing) to practice law in the State of Minnesota.
• Juris Doctor (JD) degree from an ABA accredited law school.

Compensation: $60,000 - $180,000 / year
