Tasks

-Monitor corporate compliance deadlines and ensure timely filings with relevant authorities. -Liaise with regulatory agencies, licensing boards, and internal departments to ensure compliance. -Maintain and update the organizational charts using appropriate tools and platforms. -Maintain corporate records and entity databases for U.S. and international subsidiaries. -Manage and maintain active engineering, contractor, and business licenses across states. -Prepare and file annual reports, board resolutions, meeting minutes, and other corporate documentation. -Support legal team in other administrative or compliance-related tasks, including document management and audits. -Assist with applications for new licenses as business expands into new jurisdictions. -Coordinate formation, dissolution, and restructuring of legal entities as needed. -Coordinate with key internal stakeholders across departments—including Tax, Treasury, and Sales—as needed to ensure alignment and support. -Assist in preparation and maintenance of corporate governance policies and internal procedures. -Coordinate with internal legal counsel and external legal advisors as necessary. -Track renewal dates and coordinate timely submissions to avoid lapses.

What You Bring

-Exceptional attention to detail, organization, and time management skills. -Proficient in Microsoft Office Suite and legal entity management software (e.g., hCue, CSC, or similar). -2-5 years corporate law or paralegal experience required -Familiarity with the engineering and construction industry is strongly preferred. -Minimum 5 years of experience in a corporate legal department or law firm, with a focus on corporate governance and corporate licensing. -Paralegal certificate or equivalent legal training required. -All applicants must be able to complete pre-employment onboarding requirements (if selected) which may include any/all of the following: criminal/civil background check, drug screen, and motor vehicle records search, in compliance with any applicable laws and regulations. -Strong understanding of corporate entity structures and multi-jurisdictional compliance.
