• Draft and negotiate transactional agreements, manage deal closings, and collaborate with stakeholders.
• Handle complex M&A deals, including mergers, equity and asset acquisitions, purchase agreements, and joint ventures.
• Draft and review financing documents such as loan and security agreements (plus).

Requirements

Gould & Ratner LLP is seeking an experienced Associate to join its Corporate Practice with a strong focus on mergers and acquisitions. The ideal candidate will have at least four years of experience advising on complex M&A transactions (both buy‑side and sell‑side) and additional experience in areas such as corporate governance, structure, contracts, joint ventures, divestitures, and corporate finance, including secured and unsecured lending.

Candidates can look forward to handling all aspects of complex transactions for sophisticated clients of various sizes and industries. • 4–7 years of corporate transactional law experience, drafting service contracts, disclosure schedules, and operating agreements.
• Strong analytical, interpersonal, and communication skills; ability to work both independently and in a team serving as client advisor.
• Licensed in Illinois or Colorado, or eligible for comity/waiver or willing to sit for IL/CO bar exam.
