Corporate Associate (3rd - 6th Year)

• Capital markets transactions, including private placements, Rule 144A/Reg S offerings, and PIPE transactions
• General corporate counseling for portfolio companies and emerging growth entities
• Interface directly with clients and opposing counsel throughout all deal phases
• Manage due diligence and coordinate multi-jurisdictional deal teams
• Provide strategic advice on structuring, risk allocation, and regulatory considerations
• Draft and negotiate core transaction documents, including purchase agreements, merger agreements, investment agreements, stockholders' agreements, and ancillary documentation
• Direct client contact and meaningful responsibility from day one
• Collaborate with tax, finance, and regulatory specialists to deliver integrated transaction advice

• J.D. from an accredited law school with strong academic performance
• 3-6 years of transactional experience at a major law firm (Am Law 200 or equivalent)
• Exposure to premier, multi-billion-dollar transactions with sophisticated global clients
• Strong drafting, analytical, and project management skills
• Corporate governance and securities compliance under the Securities Exchange Act of 1934 and NYSE/Nasdaq listing standards
• Demonstrated experience running workstreams on M&A or private equity transactions
• Admission to the New York Bar (or eligibility to waive in)
