Senior Counsel - Transactions
Origis Energy
Designs, builds and operates large‑scale solar, energy storage and clean hydrogen projects.
Senior Counsel responsible for reviewing and negotiating lending agreements for renewable energy project finance
Manage and coordinate with external counsel to manage transaction flow and ensure cost-effective legal support.
Prepare summaries of key deal terms and risk factors for the General Counsel and other senior leadership.
Advise internal stakeholders on legal risks, lender requirements, and compliance obligations associated with financing structures.
Support broader legal team on cross-functional matters including M&A, corporate governance, and other legal matters as needed.
Review, negotiate, and draft credit agreements, collateral packages, intercreditor agreements, tax equity agreements, tax credit transfer agreements, and related project finance documentation.
Help ensure financing transactions are executed on schedule to support project development and construction timelines and commercial operations.
Collaborate closely with the Capital Markets (Project Finance) team to support debt and tax equity financing efforts across solar and energy storage projects.
What you bring

JD and current member in good standing of at least one state bar.
Strong understanding of debt financing structures (including construction, bridge and term loans), tax equity structures, lender and investor expectations, and market-standard terms.
Familiarity with renewable energy project development and financing.
Experience negotiating complex financial and commercial agreements under tight deadlines.
Proven ability to collaborate across legal, finance, and executive teams.
Ability to balance legal risk with business priorities in a fast-paced environment.
Prior experience with energy M&A transactions will be considered a plus.
Prior in-house or law firm experience preferred, especially in energy, infrastructure, or financial services sectors.
Proactive, solution-oriented mindset with strong attention to detail.
Strong organizational and multitasking abilities.
5+ years' experience in project finance, banking, or structured finance, with a focus on energy infrastructure or renewable energy.
Excellent written and verbal communication skills.
