Coordinate formation, dissolution, and restructuring of legal entities as needed.
Support legal team in other administrative or compliance-related tasks, including document management and audits.
Liaise with regulatory agencies, licensing boards, and internal departments to ensure compliance.
Coordinate with key internal stakeholders across departments—including Tax, Treasury, and Sales—as needed to ensure alignment and support.
Coordinate with internal legal counsel and external legal advisors as necessary.
Manage and maintain active engineering, contractor, and business licenses across states.
Assist in preparation and maintenance of corporate governance policies and internal procedures.
Assist with applications for new licenses as business expands into new jurisdictions.
Maintain and update the organizational charts using appropriate tools and platforms.
Prepare and file annual reports, board resolutions, meeting minutes, and other corporate documentation.
Track renewal dates and coordinate timely submissions to avoid lapses.
Monitor corporate compliance deadlines and ensure timely filings with relevant authorities.
Maintain corporate records and entity databases for U.S. and international subsidiaries.

Familiarity with the engineering and construction industry is strongly preferred.
Minimum 5 years of experience in a corporate legal department or law firm, with a focus on corporate governance and corporate licensing.
Paralegal certificate or equivalent legal training required.

Proficient in Microsoft Office Suite and legal entity management software (e.g., hCue, CSC, or similar).
Exceptional attention to detail, organization, and time management skills.
Strong understanding of corporate entity structures and multi-jurisdictional compliance.
