Commercial Counsel

Manage disputes and pre-litigation issues, coordinating with external counsel when required.

Advise on intellectual property matters, including licensing, trademarks, and copyright.

Support compliance with global data protection, anti-bribery, export control, and other regulatory frameworks.

Develop and deliver training for business teams on contract and compliance best practices.

Support HR with employment agreements and policy matters as needed.

Provide practical, business-focused legal advice to stakeholders across departments.

Assist with corporate governance, subsidiary management, and internal policies.

Contribute to scaling legal operations in line with Energy Exemplar’s global expansion.

Advise on contract structures, risk allocation, and negotiation strategy to support business objectives.

Partner with Sales, Procurement, and Finance teams to streamline contract workflows and support timely deal closure.

Promote risk awareness and empower commercial teams to engage more confidently with legal processes.

We are seeking an Experienced Commercial Counsel to join our global Legal team. This role will serve as a key business partner, with primary responsibility for negotiating and managing complex commercial contracts that underpin our growth. The successful candidate will act as the first point of contact for contract-related matters while also supporting broader legal and compliance needs across the business.

5–8 years’ experience in commercial law, with a strong focus on drafting and negotiating SaaS/software contracts.

Experience in an international, growth-stage SaaS or technology business is highly desirable.

Qualified lawyer (JD, LLB, or equivalent) with admission to practice in at least one jurisdiction.

Excellent negotiation, drafting, and communication skills.

Demonstrated experience balancing legal risk with commercial objectives in a fast-paced environment.
