Act as a trusted governance advisor to senior management and boards, providing guidance on governance matters, regulatory expectations, and good corporate practices.

Lead periodic compliance reviews and governance health checks, identifying gaps and driving remediation actions in collaboration with stakeholders.
Planning and Organizing
Ensure the maintenance of statutory registers, constitutional documents, delegated authorities, and corporate records in accordance with applicable laws and best practices.
Support the Executive Director on strategic governance initiatives and projects.
Oversee and implement a robust compliance framework, ensuring adherence to applicable laws, regulations, internal policies, and governance standards across jurisdictions.
Oversee the maintenance of governance trackers and ensure up-to-date governance records.
Coordinate governance-related inputs into internal and external audits, ensuring timely responses to findings and implementation of agreed actions.
Builds Relationships
Create and maintain a consolidated snapshot of the organization’s portfolio, including boards, committees, and delegated authorities for each portfolio company.
Oversee and support board and committee operations, including agendas, papers, resolutions, minutes, action tracking, and annual governance calendars.
Provide guidance on UK and US legal and regulatory considerations relevant to portfolio companies, transactions, and ongoing operations.
Establish a robust monitoring and reporting framework to track the performance of governance bodies across the portfolio.
Embed ESG considerations into governance processes, templates, and reporting, in line with organizational priorities and stakeholder expectations.
Act as a key point of contact for directors, shareholders, and external advisors on company secretarial and governance matters.
Ensure investment and portfolio governance overviews are accurate and updated, facilitating informed decision-making.
Coordinate and monitor ongoing regulatory and statutory compliance obligations, including filings, disclosures, renewals, and reporting requirements.
Lead the review, development, and continuous enhancement of governance documents including policies, charters, and manuals to ensure alignment with best practices, regulatory requirements, and organizational objectives.
Promote continuous improvement in governance and compliance practices based on audit outcomes, regulatory developments, and evolving best practices.
