  • Collaborates with cross-functional leads to drive and monitor legal progress for a range of M&A and financing projects
  • Review investor and public communications, and other external documents for compliance accuracy related to 33’ Act requirements, M&A and finance transactions
  • Drive legal due diligence and deal production towards signing, closing and post-closing matters
  • Consult with, as appropriate, external attorneys as needed to execute on the company’s growth goals and related compliance matters

  • Top Tier Law Firm Experience; In-house legal experience; and 7+ years progressive experience in M&A, commercial/financial transactions, legal and/or other control-related function in a complex, global organizations
  • Able to pass a background check
  • Mastery of communication skills and styles, both written and verbal. Demonstrated ability to effectively present information to internal and external partners
  • Outstanding judgment and integrity; intellectual curiosity, innovative thinking, and ability to provide practical and solution-oriented advice
  • Juris Doctorate
  • Exceptional interpersonal skills and commitment to professionalism and collegiality
  • A strong team player attitude, with the ability to build and maintain relationships at all levels, including senior executives, field team leaders and cross-functional peers
  • Experience working with public company executives, boards and committees
  • Experience in 34’ Act periodic reporting requirements (e.g., Forms 10-K, 10-Q and 8-K)
  • Experience in assisting in post-acquisition integration initiatives, as well as divesture planning
  • Excellent analytical and problem-solving skills, business acumen and judgment, strategic legal thinking, initiative, attention to detail and ability to work independently
  • Responsive to internal customer needs, deal related timelines, and the growth aspects of the company’s strategy
  • Expertise in M&A, financing transactions, and corporate governance matters
  • Experience advising on M&A transactions and drafting/reviewing related agreements
