The Senior Counsel, Mergers & Acquisitions is a pinnacle position focused on all M&A legal activities. They will advise and provide strategic counsel on acquisitions, divestitures, joint ventures, restructuring transactions, investments, and other strategic initiatives. This leadership role works broadly across the organization with functional and operational partners, handling preliminary reviews, document drafting, due diligence, negotiations, closings, and integration activities.
- Collaborate with internal and external stakeholders, including deal teams, legal, financial advisors, investment bankers, and regulators to ensure compliance.
- Draft, review, and negotiate complex transaction agreements such as purchase, merger, subscription, and shareholder agreements.
- Conduct thorough legal due diligence to identify and mitigate potential risks and liabilities.
- Provide legal counsel to Strategy and Corporate Development, business, and legal teams on M&A and corporate development matters.
- Oversee legal integration of acquired businesses and joint ventures, ensuring seamless transitions and regulatory compliance.
- Provide guidance and training within Eaton on M&A topics, joint venture, and equity investment management.
- Serve as project manager for transactions from the legal perspective, coordinating advice from internal team members and outside counsel.
- Manage and supervise outside counsel on transactions, monitoring and forecasting external spend.
- Develop and implement standardized processes for transactions, post‑transaction requirements, and joint venture/equity investment management.
- Stay current with developments in M&A law and regulations.
- Manage and mentor legal professionals, fostering a collaborative, high‑performance culture.

Eaton’s legal organization is seeking a dynamic and passionate Senior Counsel, Mergers & Acquisitions. The role is preferably based in Beachwood, Ohio, but other markets may be considered.

- Minimum 8 years of post‑law degree experience in mergers & acquisitions or related practice.
- Juris Doctorate and bachelor’s degree from accredited institutions.
- Proven track record of leading and closing complex M&A transactions.
- Ability to travel up to 25%, including international trips.
- Experience with cross‑border M&A, acquisition integration, cash management, tax strategy, transfer pricing, and joint venture management.
- Prior law‑firm experience strongly preferred.
- Expertise in strategic planning and coordinating cross‑functional projects worldwide.
- Demonstrated talent development and mentoring of team members.
- Strong influencing skills, executive presence, and ability to present to senior leadership.
- Excellent verbal and written communication, able to convey complex issues persuasively.
Benefits
Eaton offers competitive compensation, with an expected annual salary range of $176,250 to $258,500, plus eligibility for a variable incentive program. Benefits include a variety of health, welfare, retirement, and paid/unpaid time‑off programs, subject to eligibility factors.
