The Senior Corporate Counsel will provide legal support for the Strategic Investments Group’s M&A transactions and the Strategy and Business Development Group’s venture‑capital funding initiatives, working as part of a dedicated team of attorneys throughout each deal phase.
The role involves daily collaboration with transaction managers, senior business leaders, and various legal service colleagues, as well as coordination with outside counsel to ensure seamless execution of deals.
- Review and negotiate non‑disclosure agreements with potential targets
- Lead due‑diligence reviews, coordinating subject‑matter experts
- Prepare executive materials on deal structure and risks
- Draft and negotiate definitive agreements such as asset purchase, stock purchase, joint venture, and venture‑capital funding agreements
- Collaborate with business‑unit attorneys on ancillary agreements (leases, employment, supply, etc.)
- Support integration‑related legal issues and drive process‑improvement initiatives
- Provide training to transaction managers and SMEs on M&A processes
- Maintain positive relationships with senior management of supported organizations
