Assist in preparation of tax components M&A related investment committee meeting materials.
Advise on renewable transactions, including structure and qualification for federal income tax credits.
Collaborate and build strong relationships with cross-functional teams, including finance, regulatory, accounting, asset and energy management and investor relations.
Provide tax structuring advice on mergers and acquisitions and other strategic transactions at all stages, including providing advice on bids, performing due diligence, drafting and negotiating term sheets and definitive transaction documentation, and supporting closing transactions and post-closing integration, including documentation relating to management teams.
Advise on tax aspects of financing activities relating to M&A transactions and refinancing of existing debt of portfolio companies.

Have in depth understanding of partnership and corporate federal tax structuring and operations.
Are able to be the primary in-house federal income tax attorney on M&A and other corporate transactions, including handling multiple transactions or projects simultaneously.
Are able to quickly assess business challenges, make timely, pragmatic recommendations under pressure and identify, prioritize and resolve issues quickly and independently while balancing legal risks against business interests.
Have excellent communication, project management, negotiation and drafting skills.
Have experience in structuring tax equity and other renewable focused transactions.
Renewable energy tax structuring experience, with a strong understanding of partnership and corporate tax modeling.
Have JD, with at least 6-8 years of experience handling tax aspects of complex M&A, financing and other corporate transactions.
Have ability to oversee state and local taxes.
